1. Introduction

Welcome to Incident Manager. These Terms of Service ("Terms") govern your access to and use of the Incident Manager application (the "Service") provided by Spartan9 Pte Ltd ("we", "us", "our"). By accessing or using the Service, whether through our cloud-hosted environment or via a customer-hosted deployment, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the Service.

2. Eligibility and Registration

The Service is intended for use by organisations engaged in crisis or incident management. By registering for the Service, you confirm that you are authorised to act on behalf of your organisation and that the information you provide is accurate, complete, and up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

3. Subscription, Renewal, Cancellation, and Refund

3.1. Subscription Plans

We offer monthly and annual subscription plans. Details, including pricing and entitlements, are provided on our website and/or in a separate agreement or invoice. Additional professional services (e.g., customisation, support, or training) may be subject to separate fees.

3.2. Renewal

Unless otherwise agreed in writing, subscriptions renew automatically at the end of the billing period. You are responsible for ensuring timely cancellation if you do not wish to renew.

3.3. Cancellation

You may cancel your subscription at any time via your account settings. Cancellations take effect at the end of the current billing cycle.

3.4. Refund Policy

All fees are non-refundable. No refunds or credits will be provided for partial subscription periods or unused features unless required by law.

4. Privacy and Security

Your use of the Service is subject to our Privacy Policy and Security Policy, which describe how we collect, use, and protect your information.

5. Service Availability and Third-Party Infrastructure

We strive to provide a reliable and secure Service but do not guarantee uninterrupted or error-free operation. The Service may experience temporary unavailability due to maintenance, system upgrades, or issues beyond our control.

You acknowledge and agree that the Service depends on third-party infrastructure providers (such as Render, AWS, and others), and availability may be affected by outages, disruptions, or security incidents originating from these providers. We are not responsible for performance issues, data loss, or service interruptions caused by such third-party providers.

In the event of an unplanned outage, we will make reasonable efforts to restore service promptly. However, we shall not be liable for any losses or damages resulting from downtime, system failure, or inability to access the Service.

6. Deployment Options and Restrictions

6.1. SaaS Deployment

In the standard hosted model, you access the Service via infrastructure managed by us. You are responsible for your account, users, and data. We provide system maintenance, security updates, and support under the terms of your subscription.

6.2. Customer-Hosted Deployment

If the Service is deployed to infrastructure managed by you ("On-Premise Deployment"), the following conditions apply:

  • You are responsible for the hosting environment, infrastructure security, and access control.
  • You may not copy, modify, reverse engineer, decompile, or create derivative works from any part of the Service codebase.
  • You are granted a non-exclusive, non-transferable, revocable license to use the Service in object code form only, solely for internal business purposes, and subject to these Terms.
  • All intellectual property rights remain with Spartan9 Pte Ltd. Deployment on your servers does not grant ownership or usage rights beyond those explicitly permitted herein.

7. User Responsibilities

You are solely responsible for your conduct and content submitted or uploaded to the Service. You must not use the Service to engage in unlawful, offensive, or misleading activity. You agree to ensure that content and data relate specifically to legitimate crisis or incident management purposes.

8. Intellectual Property

8.1. Ownership

The Service, including its software, features, functionality, design, and all related intellectual property rights, is owned and operated by Spartan9 Pte Ltd. Except for the limited license granted to you, nothing in these Terms transfers any ownership or rights to you.

8.2. Content Ownership

You retain ownership of any data, content, or materials you submit to the Service. You grant us a limited, non-exclusive license to use such content for the purpose of operating and improving the Service. We do not claim ownership of your content and will not share it with third parties except as required to provide the Service or as required by law.

8.3. No Source Code Access

Under no circumstances do these Terms grant you access to the source code of the Service. Any unauthorised access or attempt to derive source code is a material breach of this agreement.

9. Data Deletion and Termination

You may terminate your account at any time. Upon termination, we will delete or anonymise your content in accordance with our Data Retention Policy. In On-Premise Deployments, you must cease use of the Service and delete all code and materials provided, unless otherwise agreed in writing.

If your organisation does not convert from a free trial to a paid plan, or if a subscription ends without renewal, all related data will be permanently deleted 30 days after the end date. No confirmation will be sent prior to deletion.

10. Warranty Disclaimer

The Service is provided on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Spartan9 Pte Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or use, arising out of or in connection with your use of the Service, whether based in contract, tort, or any other legal theory—even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount you have paid to us in the twelve months preceding the claim.

12. Amendments

We may revise these Terms at any time by posting the updated version on our website. Continued use of the Service after such changes constitutes your acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Singapore, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
